Consulting Agreement
Effective October 18, 2026
This Consulting Agreement (the “Agreement”) is between Homeland Response Solutions LLC, a Utah limited liability company (“HRS”), and the client named on the payment record or signature (“Client”). It takes effect on the date Client accepts it.
1. Services
HRS will (a) identify the operational problem costing Client the most and quantify its current cost (the “Diagnosis”); (b) document, with Client’s written agreement, the outcome that counts as that problem being fixed and how it will be measured (the “Agreed Outcome”); and (c) design and implement a system to reach the Agreed Outcome (together, the “Services”). Written agreement includes email. A new or different problem requires a new agreement.
2. Fee and Payment
Client pays the fixed fee stated on the payment link or invoice (the “Fee”) in full before the Services begin. Payments are processed by Stripe, and the Services begin once payment clears. Any refund is returned to the original payment method.
3. 30-Day Guarantee
HRS guarantees the Agreed Outcome within 30 days after the date it is agreed in writing. If it is not reached and Client has met its obligations under Section 4, HRS will continue the Services at no additional charge. If HRS determines, in its sole discretion, that the Agreed Outcome cannot be reached, HRS will end the Services and refund the Fee in full. If the Diagnosis shows no outcome HRS can guarantee, HRS will notify Client in writing, refund the Fee in full, and this Agreement will end. The guarantee does not cover results lost because the system was not used as built, or because of changes in Client’s business outside the system, such as the loss of key personnel or a material change in what Client sells. A full refund of the Fee is Client’s sole remedy under this guarantee.
4. Client Responsibilities
Client will (a) give HRS access to the people, systems and data HRS reasonably requests within three business days of the request; (b) attend a weekly check-in; and (c) have its team use the system as built. Client is responsible for the accuracy of the information it provides.
5. AI Tools; No Professional Advice
The Services use third-party AI tools, which can produce inaccurate output. Client is responsible for reviewing that output and for all decisions made with it. HRS does not provide legal, financial, tax, medical or other licensed professional advice. Software and AI accounts used in the Services are held in Client’s name, paid for by Client, and governed by their providers’ terms. When the Services end, HRS will remove its access, and Client should change any credentials it shared with HRS.
6. Ownership
Once the Fee is paid, Client owns the deliverables created specifically for Client. HRS keeps all rights in its pre-existing materials, methods, templates and general know-how, and grants Client a perpetual, non-exclusive license to use any of them included in the deliverables for Client’s internal business purposes.
7. Confidentiality
Each party will keep the other’s non-public information confidential and use it only to perform this Agreement. This does not apply to information that is or becomes public through no fault of the receiving party, or that the law requires to be disclosed. This obligation survives the end of this Agreement.
8. Disclaimer and Limitation of Liability
Except for the guarantee in Section 3, the Services are provided without any other warranty, express or implied. To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and HRS’s total liability under this Agreement will not exceed the Fee paid.
9. Termination
Either party may end this Agreement by written notice. If Client ends it before the Diagnosis begins, HRS will refund the Fee in full. If Client ends it after the Diagnosis begins, or HRS ends it because Client has not met its obligations under Section 4, the Fee is not refundable and Client keeps the deliverables completed to that date. If HRS ends it for any other reason, HRS will refund the Fee in full. Sections 5 through 10 survive the end of this Agreement.
10. General
HRS is an independent contractor, and nothing in this Agreement creates an employment, partnership or joint-venture relationship. This Agreement is governed by the laws of the State of Utah, and any dispute will be brought only in the state or federal courts located in Utah. If any provision is unenforceable, the rest remains in effect. This Agreement and the written Agreed Outcome are the entire agreement between the parties and replace any prior discussions; changes must be in writing, and email is enough. Acceptance by typed name, checked box at payment, or signature is a valid signature under Utah Code § 46-4-201.
How you sign
You sign when you pay. On the payment page, type your full legal name and tick the box agreeing to this Agreement. Stripe records both with the date. A signed copy by email works too.
